1. Scope, Acceptance and Binding Effect
These Terms and Conditions (the “Terms”) constitute a legally binding agreement between Mild Maison Thermale inc. (the “Company”, “mild”, “we”, “us”, or “our”) and any individual accessing, purchasing, booking, entering, or otherwise using the facilities, services, memberships, packages, or offerings provided by mild (the “User”).
These Terms apply to any form of contractual relationship entered into between the User and the Company, including but not limited to single-use purchases, multi-session packages, memberships, or promotional offers (each hereinafter referred to individually as a “Contract”).
By purchasing a Contract, creating an account, making a reservation, or physically entering the premises of mild, the User acknowledges, represents, and warrants that he or she has read, understood, and agreed to be bound by these Terms in their entirety, without limitation or reservation.
If the User does not agree with any provision of these Terms, the User must immediately cease use of the Services and refrain from entering the facilities.

2. Nature of Services and Inherent Characteristics
The Company offers wellness and recreational services centered around thermal exposure, sensory environments, and social interaction, including but not limited to sauna use, cold immersion, contrast therapy, guided sessions, breathwork, sound experiences, and other related activities (collectively, the “Services”).
The User acknowledges that:
- the Services involve exposure to extreme heat and cold conditions;
- the Services may include sensory stimuli such as lighting effects, sound, music, projections, and environmental conditions;
- the Services may be physically and mentally demanding and may result in significant physiological stress;
- the experience is inherently variable and may evolve, be modified, or differ from initial descriptions.
Participation in the Services is entirely voluntary and undertaken at the sole risk of the User.

3. Eligibility, Age Restrictions and Verification
Access to the Services is strictly limited to individuals who are at least eighteen (18) years of age.
Individuals aged sixteen (16) or seventeen (17) may access the Services only under the following cumulative conditions:
- they are accompanied at all times by a parent or legal guardian;
- such parent or legal guardian has executed a valid and enforceable liability waiver on their behalf;
- such parent or legal guardian remains physically present within the premises for the entire duration of the visit;
- all conditions required by the Company have been satisfied prior to access.
The Company reserves the absolute right, at any time and without justification, to request valid government-issued identification and to refuse access to any individual who fails to comply with these requirements or whose eligibility cannot be verified.

4. Account Creation, Security and Responsibility
Where the creation of an account is required to access the Services, the User undertakes to provide information that is complete, accurate, current, and not misleading.
The User further agrees to:
- maintain and promptly update such information as necessary;
- ensure the confidentiality and security of login credentials;
- refrain from sharing account access with any third party.
The User acknowledges that he or she is solely responsible for all activities conducted under his or her account, whether authorized or unauthorized, and agrees to indemnify the Company against any loss or damage arising from such use.
The Company shall not be liable for any unauthorized access resulting from the User’s failure to adequately protect his or her credentials.

5. Bookings, Cancellations, No-Shows and Late Arrivals
All access to the Services is subject to prior reservation through the Company’s designated systems.
Cancellations must be made no later than twelve (12) hours prior to the scheduled session.
In the event of:
- a late cancellation;
- a failure to attend a scheduled session (no-show);
- or a late arrival that prevents participation;
the Company reserves the right, at its sole discretion, to:
- forfeit any applicable session credit;
- charge a late cancellation or no-show fee of twenty-five dollars (CAD $25);
- deny access to the session.
These policies are essential to the operational integrity of the Services and are strictly enforced.

6. Memberships, Billing, Renewal and Cancellation
All Contracts, including memberships, passes, and packages:
- are strictly personal;
- are non-refundable and non-transferable, except where required by law;
- are subject to the conditions in effect at the time of purchase.
Memberships may automatically renew on a recurring basis unless properly cancelled.
Cancellation of a membership requires a minimum of fifteen (15) days’ prior written notice before the next billing cycle. Failure to provide such notice shall result in automatic renewal and corresponding charges.
In the event of a failed, declined, or disputed payment, the Company reserves the right to:
- suspend or restrict access to the Services;
- recover outstanding amounts;
- terminate the Contract.

7. Pre-Sale Conditions
The User acknowledges and agrees that certain Services, memberships, passes, packages, or other offerings made available by mild maison thermale (the “Company”) may be offered as part of a pre-sale phase, prior to the official opening of the facilities or the full operational availability of the Services.
By purchasing any such pre-sale offering, the User expressly understands and accepts that access to the Services may be deferred and that the actual commencement of the Services is subject to the Company’s official opening date, operational readiness, and any applicable constraints, including but not limited to construction timelines, permitting processes, regulatory approvals, or other factors beyond the reasonable control of the Company.
The User further acknowledges that the Company reserves the right, at its sole discretion, to modify, delay, or adjust the anticipated opening date, the scope of the Services, the schedule, or any aspect of the offerings made available during the pre-sale phase, provided that such modifications are made in good faith and for legitimate operational reasons.
To the fullest extent permitted by applicable law, the Company shall not be held liable for any delays, changes, or adjustments relating to the availability or commencement of the Services during or following the pre-sale phase, except in cases of gross negligence or intentional misconduct.
Unless otherwise required by applicable law, all purchases made during the pre-sale phase are final, non-refundable, and non-transferable, and remain subject to all other applicable provisions of these Terms.
The User acknowledges that participation in the pre-sale phase constitutes acceptance of the inherent uncertainties associated with a pre-opening offering and agrees that such conditions do not constitute a breach of contract or a basis for compensation, reimbursement, or damages, except where required by law.

8. Conduct, Behavior and Use of Facilities
The User agrees to behave in a calm, respectful, and civilized manner at all times while on the premises.
Without limitation, the following are strictly prohibited:
- abusive, discriminatory, or offensive language;
- shouting, aggression, or disruptive conduct;
- any behavior compromising safety or well-being;
- failure to follow staff instructions or posted rules.
The Company reserves the right, at its sole discretion, to deny access to or remove any User whose behavior is deemed inappropriate, unsafe, or inconsistent with the intended environment, without refund or compensation.

9. Prohibited Substances and Items
The possession, use, consumption, or influence of alcohol, drugs, tobacco, food, or any prohibited substances or items within the facilities is strictly forbidden.
The Company reserves the right to refuse entry or immediately remove any User suspected of being under the influence, without refund.

10. Lockers and Personal Belongings
Lockers are provided solely for temporary convenience.
The User undertakes to remove all personal belongings at the end of each session.
Any belongings left behind may be:
- retained by the Company for a limited period (up to one week);
- disposed of at the sole discretion of the Company if unclaimed.

11. Disclaimer Regarding Personal Property
The Company does not guarantee the security of lockers or storage areas.
Accordingly, Mild Maison Thermale inc. shall not be liable for any theft, loss, or damage to personal belongings, regardless of cause, including negligence.

12. Responsibility and Indemnification
The User agrees to be fully responsible for any damage caused to the facilities, equipment, or property of the Company arising from his or her actions, omissions, or negligence.
The User further agrees to indemnify, defend, and hold harmless the Company from any claims, damages, liabilities, costs, or expenses arising from:
- breach of these Terms;
- misuse of the Services;
- acts or omissions of the User.

13. Acknowledgment and Assumption of Risks
The User expressly acknowledges that participation in the Services involves inherent, significant, and potentially serious risks, including but not limited to:
- dizziness, fainting, dehydration;
- burns, cold exposure injuries, or thermal shock;
- cardiovascular stress or complications;
- epileptic seizures triggered by sensory stimuli;
- loss of consciousness;
- serious bodily injury or death.
The User further acknowledges that:
- such risks may arise from both known and unknown causes;
- such risks may be exacerbated by pre-existing medical conditions;
- the Company cannot eliminate such risks.
The User voluntarily and knowingly assumes all such risks and accepts full responsibility for participation.

14. Health Declaration and Medical Responsibility
The User represents and warrants that:
- he or she is physically and mentally fit to participate in the Services;
- he or she has not been advised against such activities by a medical professional;
- he or she will seek medical advice where appropriate.
The User agrees to:
- refrain from participation if experiencing illness or discomfort;
- immediately cease participation if adverse symptoms occur;
- inform staff of any relevant condition.

15. Limitation of Liability
To the fullest extent permitted by applicable law, Mild Maison Thermale inc., including its directors, officers, employees, agents, contractors, and partners, shall not be liable for:
- any injury, illness, incapacity, or death;
- any loss or damage to property;
- any indirect, incidental, or consequential damages;
- any damages arising from the use or inability to use the Services.
This limitation applies regardless of the legal theory, including negligence.

16. Hours, Availability and Modification
The Company reserves the right, at any time and without prior notice, to:
- modify opening hours;
- adjust schedules;
- change Services or pricing;
- temporarily close facilities.
Such changes shall not give rise to liability.

17. Suspension and Termination
The Company may suspend or terminate any Contract immediately, without notice, in the event of:
- breach of these Terms;
- unsafe or inappropriate behavior;
- non-payment;
- force majeure or operational necessity.
Such termination shall not entitle the User to any refund unless required by law.

18. Gift Cards
mild gift cards do not have an expiration date and may be used at any time, in accordance with applicable Québec legislation.
Gift cards are non-refundable and cannot be exchanged for cash.
Gift cards are intended for personal use. They may be gifted but may not be resold for commercial purposes. mild reserves the right to refuse the use of a gift card in cases of fraudulent or non-compliant use.
In the event of loss or theft, mild cannot guarantee replacement without proof of purchase.
Gift cards may be applied to services offered by mild, subject to availability.
If the price of the selected service has increased since the date of purchase of the gift card, the difference must be paid by the customer at the time of use.

19. Surveillance and Security
The User acknowledges that certain areas of the facilities may be monitored by video surveillance systems for safety and security purposes.
No cameras are installed in areas where privacy is expected.
By entering the premises, the User consents to such monitoring.

20. Personal Information and Privacy
The User consents to the collection, use, and disclosure of personal information in accordance with the Company’s Privacy Policy, which forms an integral part of these Terms.
The User acknowledges that such information may be required for:
- managing the Contract;
- providing access to Services;
- ensuring safety;
- complying with legal obligations.

21. Amendments
The Company reserves the right to amend these Terms at any time.
Where required by law, prior notice will be provided, including details of the amendments and effective date, and the User may exercise applicable rights to refuse such changes.

22. Governing Law
These Terms are governed by and interpreted in accordance with the laws of the Province of Quebec and the applicable laws of Canada.
